In Juridische Berichten voor het Notariaat (JBN) 2018, no. 9, Mariel Vrielink wrote the article “Voting prior to meetings and quorum requirements in the bye-laws. A combination of the two requires vigilance”.
Bye-laws of associations regularly include quorum requirements for key decisions by the general meeting. If this is the case and members of the association have the option under the bye-laws to cast their vote electronically prior to the general meeting, the combination of these two provisions must be carefully considered to prevent undesirable consequences in practice.
