Schoenmaker-Tijsseling, Beppie

Beppie Schoenmaker-Tijsseling graduated from the University of Utrecht in 1999 with the specialisation Dutch private law and the specialisation Law and Economics in organisations and society (both with honours). Subsequently she started working at (one of the legal predecessors of) Van Doorne. As of April 2004 Beppie has been working at Van Benthem & Keulen. She is part of the company law division.

In the initial years of her career Beppie gained a thorough grounding in corporate practice with a focus on mergers, acquisitions, joint ventures and the corporate law of Book 2 Dutch Civil Code. Following this she broadened her horizon by applying and specialising in employment law and co-determination law during five years. Her broad experience served her well when Van Benthem & Keulen arranged for her to undertake a secondment of six months in 2007, during which she worked as an in-house-counsel for an international company which is listed on the U.S. Stock Exchange. After these six months, she returned to the company law division.
Beppie advises corporations on mergers, acquisitions and (contractual) joint ventures. She also provides guidance in relation to questions concerning the duties of the management of a legal entity and their accountability in that respect. She also covers questions concerning the internal relation between bodies of a legal entity and questions relating to the liability of directors, supervisory board members and shareholders (the so-called piercing the corporate veil). Given the aforementioned, Beppie also deals with disputes on the aforementioned subject matters, such as disputes between shareholders, disputes between shareholders and managing directors and other disputes between the internal bodies of legal entities, the right to instigate an inquiry into the state of affairs of a company and buyout procedures under the rules of Book 2 Dutch Civil Code.

Beppie is a member of the Dutch Association of Corporate Litigation (“Nederlandse Vereniging voor Corporate Litigation”) and of the society “Commercial law” (“Vereeniging ‘Handelsrecht’”). She also was a lecturer at NEVOA and SRA. Furthermore, she regularly provides training in corporate law for IURA ACTUA.

Beppie is also a mediator and registered as such with the Dutch Mediation Institute (“Nederlands Mediation Instituut (NMI)”). As a mediator she focuses on business mediation, such as employment law disputes and business-to-business mediations. The latter are amongst others commercial disputes, disputes following an acquisition and the aforementioned disputes, such as disputes between shareholders, etc.. She is a member of the Dutch Association of Mediation Attorneys at law (“Nederlandse Vereniging van MediationAdvocaten”) and is part of the Audit Committee of this association. She is also a member of the Dutch Mediators’ Association (“Nederlandse Mediatorsvereniging”).
